Thomas J. Mulrenin commenced private practice in Annapolis in 1992, concentrating on real estate development, leasing, finance, and general business counseling. Known by his clients and colleagues as “TJ”, Mr. Mulrenin has more than thirty years of legal experience in the field of real estate development. He was awarded the 2010 Martindale-Hubbell AV Preeminent Rating, which is the highest possible peer review rating in both legal ability and ethical standards. Mr. Mulrenin graduated from the University of Maryland at College Park and with honor from the University of Maryland School of Law.
rThe landscape of retail development has evolved, and Mr. Mulrenin’s experience has grown to include sophisticated mixed-use projects, including those in an urban vertical environment. He counsels his clients in intricate negotiations among developers, joint venture partners, governmental entities, and tenants to create and implement complex contracts.
rMr. Mulrenin represents many large regional real estate developers and retail center owners who are industry leaders in creating innovative urban and suburban projects. His role in advising developers commences with the initial acquisition of land or existing redevelopment site. In this acquisition phase, he advises clients on due diligence, entity formation, joint development agreements, reciprocal easement agreements, operating agreements, and pre-development and acquisition financing.
rDuring the construction phase, Mr. Mulrenin negotiates any issues involving equity partners or private offerings, as well as construction and permanent loans. As a project nears completion, Mr. Mulrenin provides the client with the full spectrum of legal leasing expertise, including lease negotiations and preparation of form leases, work exhibits, and tenant guarantees. Mr. Mulrenin has found that clients are better served when counsel plays an integral role in all phases of development, starting with acquisition and financing, continuing through development and leasing, and concluding with disposition of projects.
rKimberly S. Keith counsels business clients in the areas of commercial real estate leasing, finance, development, and entity formation. Ms. Keith negotiates and oversees some of the firm’s largest real estate finance transactions, including the formation and negotiation of complex business agreements among shareholders, partners, equity partners, and developer entities. Her client representation typically commences at the onset of a transaction so that she can provide advice on entity formation, financing terms and documentation, and personal guarantee exposure.
rDavid A. Katz focuses his practice in commercial real estate development and management, corporate and banking transactions, litigation, and criminal defense. As a former Assistant State’s Attorney for Anne Arundel County, Mr. Katz successfully prosecuted hundreds of cases involving DUI, possession of controlled dangerous substances, theft and assault. He acquired his transactional experience as an associate with a prestigious local law firm, serving as associate general counsel to a publicly traded financial institution and real estate brokerage and development firm.
rAnn M. Powell focuses her practice in commercial real estate development, leasing, and management. Ms. Powell began her legal career as in-house counsel for a prominent Maryland real estate developer and broker. Ms. Powell is actively involved on the boards of several local nonprofits.
